may appoint a surveyor of the streets, who shall have the right and power of a surveyor of the highway to call out the male citizens of the town of the same age who are required to work on the public roads, for the purpose of working on the streets of the town and keeping the same in good order.

§ 5. This act shall take effect from its passage.

CHAPTER 282.

AN ACT to authorize the court of claims of Daviess county to levy an ad valorem tax to pay the floating debt of said county, and for other purposes.

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That the court of claims of Daviess county be, and is hereby, authorized and empowered to levy and collect an ad valorem tax of not exceeding ten cents on each one hundred dollars' worth of property in said county, said tax to be levied and collected annually for two years; said tax to be applied first to paying the floating debt of said county, and after the accomplishment of that object, said tax to be applied to keeping the roads and bridges of said county in good repair.

§ 2. The sheriff of said county shall collect and pay over said tax, and shall be responsible therefor on his official bond, and shall have the same power to enforce the collection of said tax as for State revenue.

§ 3. This act to take effect from its passage.

CHAPTER 283.

AN ACT to amend an act to incorporate the Cumberland and Ohio Railroad

Company.

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That an act, entitled "An act to incorporate the Cumberland and Ohio Railroad Company," approved 24th February, 1869, be amended as follows: That the remedy given in

said act of 24th February, 1869, aforesaid, for the collection of the bonds and coupons authorized to be issued, and which were in fact issued under and by authority of said act, is exclusive of all other remedies, and it shall apply to the collection of all bonds, coupons, and judgments which have been, or may hereafter be, rendered on said bonds and coupons.

2. This act shall take effect from and after its passage. Approved February 27, 1880.

CHAPTER 284.

AN ACT to amend the charter of the Maysville and Lexington Railroad Company, Northern Division.

Be it enucted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That the annual and called meetings of the stockholders of said company may be held at such time and place, within the counties of Mason, Nicholas, Bourbon, Harrison, Pendleton, and Kenton, as the board of directors of said company may determine upon, due notice thereof having been published in some paper of general circulation in the cities of Covington, Maysville, or Lexington, for thirty days before the annual meetings and ten days before any called meeting. § 2. This act shall take effect from its passage.

CHAPTER 285.

AN ACT to incorporate "The Preachers' Relief Association" of the Kentucky Annual Conference of the Methodist Episcopal Church.

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That the following board of managers, to-wit: W. M. Mullenix, president; Hiram Shaw, vice president; Benj. A. Stubbins, secretary; Amos Shinkle, treasurer, and Jno. D. Walsh, D. E. Roberts, and Joshua Speed, or their successors in office, as provided for in the constitution and by-laws herein provided for, and the preachers who are, or may from time to time hereafter become members or probationers of the Kentucky Annual Conference of the said M. E. Church,

together with such adult persons as by the law and usage of said church are known as "conference claimants," be, and are hereby, constituted a body-corporate, to be known as The Preachers' Relief Association of the Kentucky Annual Conference of the Methodist Episcopal Church.

§ 2. The said Preachers' Relief Association hereby incorporated is, by this enactment, empowered to sue and be sued, plead and be impleaded, in the civil courts of the Commonwealth of Kentucky as a natural person; and to have, hold administer, and receive, by gift, donation, devise, or bequest, personal property and real estate, bonds, mortgages, notes, and commercial paper, and is also empowered to convey right, and make title to such property when, in the administration of its business, it may become necessary for the purposes hereinafter described.

§ 3. The object and purpose for which the association hereby incorporated shall be administered, is to secure by collections, donations, devises, and bequests of money, lands, or other negotiable or merchantable property, an endowment, the principal to remain intact forever, the income or produce of which only shall be benevolently appropriated, annually or oftener, to the benefit and relief of such persons as in accordance with the book of discipline of said Methodist Episcopal Church, the Kentucky Annual Conference of said church shall, from time to time, designate as conference claimants, and for such incidental expenses of the association as may legitimately occur in the administration of its business.

§ 4. Be it further enacted, That the association hereby incorporated shall have power to enact such constitution and bylaws as may be necessary to properly provide for the election of its board of managers, president, and other officers, and for filling vacancies in the same, and for the government and management of its affairs, and for the times and places of its meetings: Provided, however, That such constitution and bylaws shall not be contrary to this charter, nor to the Constitution and laws of this Commonwealth, nor to the Constitution and laws of the United States, nor to the discipline of the Methodist Episcopal Church, as it may, from time to time, be revised: And provided further, That said constitution shall be subject to the approval of the said Kentucky Annual Conference of the Methodist Episcopal Church.

5. Be it further enacted, That in consideration of the benevolent object of the said Preachers' Relief Association, any property that it may become possessed of, under this charter, shall be exempt from taxation.

§ 6. This act shall take effect from and after its passage. Approved February 27, 1880.

CHAPTER 286.

AN ACT to incorporate the Horizontal Metal Roofing Company.

Be it enacted by the General Assembly of the Commonwealth

of Kentucky:

§ 1. That Robert F. Slaughter, Ninian S. Riley, James V. Corporators. Riley, their associates, successors, and assigns, be, and they

are hereby, created a body-politic and corporate, under the name and style of the Horizontal Metal Roofing Company, and are made capable of contracting and being contracted with; and by the said name, capable in law to sue and to be sued, to plead and be impleaded, in any court in this Commonwealth or elsewhere; and to have and use a common seal, and to alter and change the same at pleasure; and also to adopt, amend, and put in execution all necessary by-laws for the transaction of the business and government of said company, not inconsistent with this charter nor the Constitution and laws of this State or of the United States.

§ 2. The capital stock of said corporation shall not exceed Capital stock. sixty thousand dollars, nor be less than twenty thousand dollars, which shall be divided into shares of five hundred dollars each, and the same may be paid in money, property, or labor, in such manner as said company may deem expedient; and said stock may be sold as low as fifty per cent. of the face value of the same; and the company may issue the stock, full paid up and unassessable; in which event the holder shall not be held liable for the payment of anything more on said stock; nor shall any stockholder, after he has paid up the subscription price of his stock, be individually liable for any debts contracted by said company, unless he shall receive dividends when the company is indebted; in which event said stockholder shall be individually liable for the amount of said dividends to the existing creditors, but no further. of their transfer, shall be fixed in the by-laws of the company; and a lien is hereby created in favor of the company on the shares of stock of any holder thereof, except those shares of stock, if any, issued full paid up and unassessable, for any and all claims, debts, dues, or demands which the company may have against the holder of such shares of stock. The books of the company shall show the manner or plans of issue of stock, and at what price each share of the stock was originally subscribed and paid for.

§3. When the minimum amount of capital stock required When may or by this charter shall have been subscribed, the company may then organize, at such time and place as the original incorporators may designate, by written notice to each subscriber, when they shall elect a board of directors of at least threethe number may be increased to five or seven, at the pleasure of the stockholders, at any annual election thereafter-from among the subscribers, who shall select one of their number as president, who shall hold their offices for one year, or until their successors are elected, which annual election shall be held at such time and place as may be designated in the bylaws of the company, of which elections the secretary shall mail to the address of the stockholders a written or printed notice of time and place of said election at least ten days previous to the time of meeting; and each share of the stock shall entitle the holder to one vote, in person or in writing. The company may receive conveyances of real estate, or any description of personal property or estate, in part payment or in full satisfaction of the subscriptions of stock taken by any party, or for any other valuable consideration, as may be deemed advisable, and may appropriate the same to the business of the company, or mortgage or sell and dispose of the same as the interest of the company may require.

§4. The business of said company may embrace the manufacturing of all kinds of metal roofing, especially the sheet roofing described and shown in letters-patent of the United States, No. 220181, dated September 30, 1879, and the building of suitable machinery for the manufacturing of said sheet roofing, the establishment of factories for the preparation of sheet rooting under said letters patent, or the manufacturing of any articles whatever under any other letters-patent that the company may obtain on application or by purchase; also to establish local agencies to use or sell the right to make, to
