TITLE I.

ACADEMIES.

American Scientific and Military Academy was incorporated May 1825, and superceded by the incorporation of the Wesleyan University in May

1831.

RESOLVE INCORPORATING BACON ACADEMY-PASSED, MAY 1802)

Upon petition of Roger Bulkley and others, shewing that Pierpont Bacon, by his last Will and testament, bequeathed the principal part of his estate, to the first Society in Colchester, for the support of Schools therein.

Resolved by this Assembly, That all persons by law capable of voting in school society meetings, and living within the present limits of the first school society in Colchester, be and they are hereby constituted, ordained and declared to be, from time to time, forever hereafter, one body corporate and politic in fact and in name, by the name of "The Trustees and Proprietors of Bacon Academy ;" and by that name they and their successors shall and may have forever hereafter perpetual succession, and are hereby made capable in law to have, purchase, receive and hold to them and their successors, lands, tenements, hereditaments, rents, moneys, goods, chattels and effects of what kind or quality soever to any amount not exceeding one hundred thousand dollars in the whole, including their present fund, and the same to sell, grant, alien, dispose of, or manage in any manner consistent with the true intent and meaning of the donors or grantors thereof-to sue and be sued, plead and be impleaded, defend and be defended in all or any court-to have a common seal, and the same to break and renew at pleasure-to make and execute such by-laws and regulations as they shall deem expedient for the governing and well ordering

the concerns of said corporation, and not contrary to the laws of this State; and to nominate trustees, and to remove them from office and to choose such other officers as they may deem necessary; and the first meeting of said corporation shall be holden at the Meeting house in said society at such time as the said Roger Bulkley and Daniel Watrous shall, by warrant under their hands appoint, and notice thereof shall be given in the same manner as the meetings of said school society are now usually warned; and a meeting of said corporation shall be holden on the last Monday in April annually, and all future meetings may be warned in such manner as said corporation shall direct. And be it further resolved, that said corporation shall proceed and be regulated by the principles contained in the following articles, viz :—

1. There shall be established for ever hereafter in the first society of Colchester, a school by the name of Bacon Academy, for the instruction of youth in reading and writing English, in arithmetic, mathematics, the languages, and other branches of learning, and shall include a common school, and a school of a higher order to be opened and kept in the building erected for that purpose, near the Meeting house, unless other buildings shall be erected for the accommodation of said school. The common school shall have preference for support from the funds of said corporation, and the school of a higher order shall be supported by the surplus proceeds of said funds, and by such other interest and incomes as may in any way accrue to said Academy, without diminishing the principal of said funds.

2. The whole management and superintendence of said Academy, at all times from and after the first Tuesday in July next, shall be vested in a Board of twelve Trustees, seven of whom, and no more, shall be members of said corporation, and.resident in said society, at the time of their appointment to said trust, and shall be styled the Trustees of Bacon Academy, and by virtue of their office they and their successors shall be fully seized and possessed in right of and in trust for said corporation of all the real and personal estate, interest and revenues of said corporation, to use and improve the same for the greatest benefit of said Academy and for no other purpose.

3. His Excellency Jonathan Trumbull, the Hon. Zephaniah Swift, the Hon. Roger Griswold, Gen. Epaphroditus Champion, the Rev. Henry Channing, the Rev. Salmon Cone, Col. Daniel Watrous, Maj. Roger Bulkley and Joseph Isham, John R. Watrous, Asa Bigelow and Ichabod Lord Skinner, Esq'rs., nominated by said society for that purpose, shall be the first trustees of said Academy, and shall hold their offices during their good behavior, seven of whom shall be a quorum to proceed on business, and may adjourn from time to time.

4. The first meeting of said Trustees shall be holden in Bacon Academy on the first Tuesday of July next, at which meeting the said Trustees shall choose by ballot a Chairman of the Board of Trustees, who shall be the standing moderator in their meetings, shall have a casting vote when the members present shall be equally divided, and shall hold his office during the pleasure of said Board, and shall also appoint a Clerk and Treasurer, who shall also hold their respective offices at the pleasure of said Trustees, and shall be accountable at all times to the Board of Trustees. And the said Trustees shall in convenient time select and appoint a principal overseer of said Academy, who shall be styled preceptor, who shall have the entire superintendence and management of said Academy and Schools, subject to the direction of said Board of Trustees, and they may at all times appoint such other masters,

teachers and officers as may be necessary, and said board of trustees shall have power to establish their respective salaries and to remove and displace them at pleasure, and to make by-laws and ordinances for the admission, dismission, education, government, and discipline of the scholars, and to establish the price and terms for tuition for all scholars not belonging to said society, but the Academy shall always be free and without expense to all scholars belonging to said first society; all future meetings of the board of trustees shall be warned in such manner as said board shall direct, and a meeting shall be called whenever five or more of the members shall signify their desire therefor in writing, addressed to the clerk of said board.

5. The trustees shall have power to hold and use the seal of said corporation, and in the name of said corporation may at their discretion, institute and defend in all suits or actions involving the interest of said corporation, and may submit any matter of dispute or controversy concerning their rights or interest to the award of arbitrators, and shall have the general power of securing, receiving and paying out the income or revenues of said corporation, and of conducting and managing the whole affairs and business of said Academy, not otherwise in this resolve provided for, in such manner as they shall judge most conducive to its prosperity and the design of their trust; and any three of said trustees resident in said society and selected and appointed for that purpose by said corporation, at their annual meeting or at any other legal meeting warned for that purpose, shall be the committee of the inhabitants of said society to loan the monies belonging to said fund as directed in said last will and testament. And the said trustees and said committee shall annually report to said corporation the expenditures of the preceding year and of the state of their funds, and shall receive no emolument for their services except for actual expenses and time spent in taking care of said estate.

6. It is further resolved by this assembly that whenever a vacancy or vacancies shall happen in said board of trustees by death, resignation, refusal or otherwise, the clerk of said board shall at some convenient time before the session of the next General Assembly warn a meeting of such corporation, which meeting shall by ballot nominate a proper person or persons to fill such vacancy or vacancies and the name or names of the person or persons so nominated shall, under the clerk's certificate, accompany a petition to the Governor and council praying to have the person or persons so nominated, appointed, and the trustees so appointed and having accepted their trust shall hold their offices during good behavior, provided that whenever said corporation shall be dissatisfied with any one or more of said trustees, the said corporation may, in legal meeting warned for that purpose and holden on the last Monday of April in every year, by the major vote of the inhabitants of said corporation present in said meeting, apply to the Governor and council to have any one or more of said trustees, not exceeding four in any one year, removed from office for misconduct and may nominate others to supply their places, and the person or persons so to be removed, shall hold their offices until the person or persons nominated to supply their place or places shall be approved and appointed by the Governor and council.

7. That this valuable institution may be preserved and secured, be it further resolved by this Assembly, that all such transactions, contracts, laws, and rules as shall, by mistaken construction or oversight by said corporation or said trustees, be made to infringe upon this charter or the last will and testament of said Pierpont Bacon shall be utterly null and void, and shall in no way effect said charter, or said last will and testament.

IN ALTERATION-PASSED, MAY 1827.

1. Resolved by this Assembly, That each and every person who shall be nominated by said corporation to the office of trustee of Bacon Academy, shall be appointed by the senate, and appproved by the Governor, at their discretion.

2. That the person chosen treasurer, or being treasurer of the board of trustees, shall give bonds to the trustees of Bacon Academy with sureties to the acceptance of said trustees in a sum of not less than two thousand dollars, conditioned for the faithful discharge of said trust.

3. That the accounts of the Treasurer of the trustees of Bacon Academy shall be annually audited by a committee of not less than two of any of the members of said corporation, annually chosen by said corporation, who with said Treasurer, shall annually, on the last Monday of April, report to said corporation the expenditures and income of the preceding year, and the state of the funds.

4. That seven persons, members of said corporation and resident in said society, shall be every three years, beginning on the last Monday in April, A. D. 1828, by ballot nominated by said corporation, at the annual meeting of said corporation on the last Monday in April for the office of trustees of Bacon Academy, four of whom at least shall have been trustees the preceding year, in case that number of trustees remain who will serve; and each and every person thus nominated by the senate and approved of by the Governor, and having accepted the trust, shall hold the office until others, as aforesaid, are nominated and appointed in their place; and that every part of said act of incorporation, which is inconsistent herewith, shall be, and the same is hereby repealed.

RESOLVE INCORPORATING BERLIN ACADEMY-PASSED, MAY 1802.

Resolved by this Assembly, That Roger Riley, Giles Curtis, Samuel Porter 2nd, Joseph Galpin, George Hubbard and others, who are or may hereafter be proprietors of the Academy in said Berlin, commonly called Berlin Academy, be and they are hereby created and made a body corporate by the name and style of" The Proprietors of the Berlin Academy ;" and by that name shall be and hereby are made capable in law to have, purchase, receive, possess and enjoy, to them and their successors, real and personal estate of any kind whatever to the annual amount of three thousand dollars, and the same to sell, grant, alien, and by their said corporate name to sue and be sued, plead and be impleaded, defend and be defended in all courts in this State; to have and use a common seal and the same to break, alter and renew at pleasure, and to ordain and carry into effect such by-laws and regulations as shall be deemed necessary and useful for the well ordering and governing the affairs of said corporation, not repugnant to the laws of this State,or to the constitution and laws of the United States; and for the further government of said corporation.

2. That there shall be seven trustees annually appointed by the said proprietors, at a meeting to be held for that purpose, which meeting shall be con
