The People of the State of New York, represented in SECTION 1. Archibald Young, C. L. Recknagel, George Shields, E. Lott, Jr., Stedman Wright, Robert Benson, Jr., D. Horton, C. M. Felt, and such other persons as now are or may hereafter be associated with them, are hereby constituted a body corporate, by the name of "The Bath Dock Company," for the purpose of erecting, building, making and maintaining a wharf or dock at Bath, in the town of New Utrecht, in the county of Kings, for the landing, convenience and accommodation of steamboats and other vessels, and of passengers and freight. Erection of § 2. The said corporation is hereby authorized and termination empowered to erect, build and maintain its wharf or of highway. dock, extending into the bay, at the termination of the highway leading from New Utrecht village to the bay at Bath, and to enter upon, use and occupy said highway so far as may be necessary for the erecting, building and maintaining of said wharf or dock, and connecting the same with said highway. Corporation may acquire real and personal property and erect buildings. Capital stock. Increase thereof. Board of directors. § 3. The said corporation shall have the power to acquire, hold, sell or otherwise dispose of such real or leasehold and personal property at Bath, in the town of New Utrecht, and to erect such buildings as may be necessary to carry out the objects of said corporation. § 4. The capital stock of said corporation shall be twenty-five hundred dollars, which shall be divided into one hundred shares of twenty-five dollars each, which shares shall be deemed personal property, and the said capital stock may hereafter be increased, in case a majority of the directors for the time being so determine, to an amount not exceeding thirty-five hundred dollars. $5. The stock, property, affairs, and business of the said corporation shall be managed by three directors, who shall be stockholders, one of whom shall be the president, and who shall hold office for one year, and until others are chosen in their place; and the directors |
